Lunaseed Inc.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Lunaseed Inc. (“Lunaseed,” “we,” “our,” or “us”).

By creating an account, accessing, or using the Lunaseed Platform (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not access or use the Platform.

2. About Lunaseed

Lunaseed is an AI-powered fintech platform that connects verified startups with accredited investors.

We streamline startup fundraising through automated due diligence, document generation, and secure fund transfer tools.

Lunaseed is not a broker-dealer, investment advisor, or legal firm, and does not guarantee investment outcomes or provide investment advice.

3. Eligibility

You may use the Platform only if you are at least 18 years old and legally able to form a binding contract, are a resident or legal entity of the United States, provide accurate, complete, and current registration information, and agree to comply with all applicable U.S. laws and regulations.

Investors must meet the definition of “accredited investor” as defined by the U.S. Securities and Exchange Commission (SEC).

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

You agree to provide accurate information, promptly update your account if details change, and notify Lunaseed immediately of unauthorized use or suspected breaches.

Lunaseed is not liable for loss or damage resulting from unauthorized account access.

5. Use of Platform

You agree to use the Platform solely for lawful purposes and in accordance with these Terms.

6. Services and Features

Lunaseed provides a suite of services that includes an AI validation engine, a Legal AI engine, investor and startup dashboards, and integrated payments through Stripe and Plaid.

All automated outputs, scores, or documents are informational tools only and do not replace legal or financial counsel.

7. Fees and Payments

Certain features may require payment or subscription, and you will be notified of applicable fees before confirmation.

Payments are processed via Stripe and Dwolla; Lunaseed does not store card details.

All transactions are final unless otherwise stated.

By submitting payment, you authorize Lunaseed and its payment partners to process charges per your selected plan.

8. Intellectual Property

All intellectual property on the Platform, including content, source code, AI models, logos, and trade names, belongs exclusively to Lunaseed Inc.

You are granted a limited, non-transferable, revocable license to use the Platform in accordance with these Terms.

You may not copy, distribute, modify, or exploit any material from Lunaseed without written authorization.

9. Third-Party Services

The Platform integrates third-party tools such as Persona, Plaid, Stripe, and Dwolla.

By using these features, you acknowledge that your information will be shared with these partners in accordance with their own privacy policies.

Lunaseed is not responsible for the content or practices of third-party sites or services.

10. Disclaimer of Warranties

The Platform and all services are provided “as is” and “as available” without warranties of any kind, express or implied.

Lunaseed disclaims all warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be uninterrupted or error-free, that any data or content will be accurate, reliable, or complete, or that any defects will be corrected promptly.

11. Limitation of Liability

To the maximum extent permitted by law, Lunaseed, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, any loss of profits, revenue, or business opportunity, or any damages resulting from unauthorized access to or alteration of your data.

Total liability for any claim shall not exceed the greater of (a) the fees paid to Lunaseed in the past six months or (b) USD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Lunaseed and its affiliates from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from your use or misuse of the Platform, your violation of these Terms, or your infringement of any third-party rights or laws.

13. Termination

Lunaseed may suspend or terminate your access without notice if you violate these Terms or engage in fraudulent or harmful conduct.

Upon termination, your right to use the Platform will immediately cease, but obligations accrued prior to termination will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of California, United States, without regard to conflict-of-law principles.

Any dispute arising under these Terms shall be resolved exclusively in the courts located in San Francisco County, California, and both parties consent to personal jurisdiction in those courts.

15. Amendments and Updates

Lunaseed may revise these Terms periodically. Material updates will be communicated via email or in-app notifications.

Continued use of the Platform after changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and Lunaseed and supersede any prior written or oral agreements related to the Platform.
